WSI International, Inc., ("WSI") maintains this website located at www.wallstreetinstitute.com and its associated websites, web pages, content and other materials (collectively the "Site") to provide to you information about Wall Street Institute, its experience, capabilities, products and services. Your access to and use of the Site is subject to these Terms of Use and all applicable laws. By accessing the Site, you accept, without limitation or qualification, these Terms of Use. You should review the most current version of the Terms of Use often as they may be modified from time to time and the terms as modified will govern your use of the Site. Any new features that augment or enhance the Site will be subject to these Terms of Use.
1. Generally
You are free to browse the Site. All material available on the Site is referred to as "Licensed Content." You may view and print portions of the Licensed Content for your own internal use but not for resale or other commercial use and not for use other than as provided in these Terms of Use. Licensed Content may change periodically and at any time. With some exceptions, WSI's website(s) do not target and are not intended for use by children under age 13. Except as may be permitted by local law, WSI will not knowingly contact children under age 13 about promotions or for marketing purposes without a parent's permission nor will it ask for more personal information than is reasonably necessary to participate in a given activity. Because many factors go into the decision-making process of acquiring products and services of this nature and everyone's particular circumstances and needs may differ, the Licensed Content is provided for informational purposes only.
2. Privacy
WSI values its relationship with visitors and customers and makes every effort to safeguard any Personal Information collected, while also making information available. Personal Information is defined as your name in combination with a credit card number, social security number or bank account number. Personal Information is not information that is publicly available such as your name, address, e-mail address, telephone number, country of residence etc. or information you provide in connection with your submission of your resume or curriculum vitae. WSI collects information about you in several ways from different parts of the Site. For example, information you provide is collected and stored to permit you to receive WSI's communications which may include e-newsletters, case studies, and online support to existing customers. Information may also be collected when you communicate with WSI through the "Contact," "Customer Support," "Teacher Recruitment," or "Employment Opportunities" links on the Site, via e-mail, to request support, ask a question, apply for employment, report a problem or participate in promotions, sweepstakes or contests. If you contact WSI, it will keep a record of that session. It will also maintain a copy of your request or correspondence for a period of time after it forwards it to the appropriate WSI affiliate. For example, if you request information about products or services and you indicate that you live in one country, WSI will forward your request, including all information you provided, to its affiliate in such country which will then contact you. Once forwarded to the applicable affiliate, all information, including Personal Information, will be maintained pursuant to the website term of use established by and the laws governing the applicable affiliate. WSI automatically receives and records information on its server logs from your browser, including your IP address, WSI cookie information and your page requests. WSI may also occasionally ask users to complete surveys for research purposes, provide testimonials or submit ideas for improving our products and services.
WSI may use any information gained through the Site for any legal purpose. Generally, WSI uses information to provide maintenance and support to existing customers, customize Licensed Content, fulfill your information requests, improve services, contact you, conduct research and provide anonymous reporting for internal use and to third parties. WSI may combine information it has about you with information obtained from its affiliated companies, business partners or other companies or to develop, use and make available to third parties (at no charge or for a fee) aggregated information regarding trends, products, security/privacy patterns and research, internal record keeping and reporting, measuring and reporting learning, performance and other statistical information concerning any aspect of the Site. WSI will not report aggregated data in a manner that reasonably permits such information to be identified with any user nor will it sell your information. WSI does not expect to request or collect Personal Information from you at this time. However, any Personal Information you voluntarily provide to WSI will not be shared except under the guidelines established in this Privacy Section. Any material, information or other communication you transmit, upload or post to the Site or email to WSI, including testimonials and ideas (collectively, "Communications") will be considered non-confidential and nonproprietary and WSI will have no obligation to preserve the confidentiality or refrain from disclosing Communications. WSI and its designees will have no liability for and be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text, product ideas, suggestions or enhancements, as well as anything embedded therein for any and all commercial or noncommercial purposes without your consent and without remuneration to you.
WSI may set and access cookies on your computer for various purposes, including to secure transaction activities, if any, and enhance the performance of the Site. Generally, WSI may use cookies to remind it of who you are and to access your account information (if stored on its computers), to confirm your identity as an authorized WSI customer user, and/or to deliver to you more personalized service. WSI also collects IP addresses for system administration to include them in outgoing mail message headers.
Notice to California residents about your California privacy rights: In addition to the other rights described in this policy, if You are a California resident and our customer, You have the right to request information regarding the manner in which WSI shares certain types of personal information with third parties to the extent used for direct marketing purposes. You have the right to submit a request to WSI at its designated address and receive the following information within 30 days of its receipt of that request: (1) the types of personal information disclosed to third parties during the immediately preceding calendar year, (2) the names and addresses of third parties that received the personal information, and (3) if the nature of a third party's business cannot be reasonably determined from the third party's name, examples of its products or services. You are entitled to receive a copy of this information in a standardized format. Any information will not be specific to you individually. All such requests for such information must be in writing and sent to WSI's designated address.
If WSI were to merge with or be acquired by another company or if it were to cease operations, your information may be transferred to the surviving company and will be subject to that entity's privacy policy. WSI may disclose your personal information if it has reason to believe that disclosure is necessary to identify, contact or bring legal action to enforce any of WSI's rights, including against you or a third party, for nonpayment, violation of any agreement with WSI, to prevent injury to or interference with WSI's rights or property, to other WSI users or anyone else that could be harmed by such activities. WSI may disclose or access account information when it believes in good faith that the law requires it and for administrative and other purposes that WSI deems necessary to maintain, service and improve it services and to protect its rights or property. By accessing and using the Site, you agree that information you have provided may be disclosed as described above or as may be modified from time to time.
3. User Conduct
All information, data, messages or other materials transmitted are the expressions, opinions and sole responsibility of the person from whom such material originated. This means that you and not WSI are entirely responsible for all downloads, uploads and/or emails transmitted via the Site. You should verify all statements and do your own testing and due diligence before following any recommended advice. Under no circumstances is or will WSI be liable in any way for any Communications, and links you may access located on the Site, your or another user's use of the Site or any Licensed Content, including but not limited to any errors or omissions in any Licensed Content or for any loss or damage of any kind incurred as a result of the use of any Licensed Content via the Site.
You agree not to use the Site to:
(a) email, or otherwise transmit anything that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful or racially, ethnically or otherwise objectionable;
(b) impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with WSI or any other person or entity;
(c) forge headers or otherwise manipulate identifiers in order to disguise the origin of anything transmitted through the Site;
(d) email or otherwise transmit anything that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as insider information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(e) email or otherwise transmit anything that infringes any patent, trademark, trade secret, copyright or other proprietary right ("Rights");
(f) email or otherwise transmit any unsolicited or unauthorized advertising or promotional materials, chain letters or other solicitation;
(g) email or otherwise transmit any material containing software viruses or any other malicious, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware, telecommunications equipment or database;
(h) interfere with or disrupt the Site or servers or networks connected to the Site or disobey any requirements, procedures, policies or regulations of networks connected to the Site or otherwise impose an unreasonable or disproportionate burden on the Site;
(i) intentionally or unintentionally violate any applicable local, state, national or international law, rules or regulations;
(j) attempt to circumvent any passwords or other security features or take any action intended or designed to compromise the privacy or security of the Site, users or other visitors;
(k) reproduce, modify, rent, lease, loan, distribute, sell, trade, resell or otherwise commercially exploit any portion of the Site or create derivative works based on the Site, Software or Licensed Content in whole or in part.
4. Indemnity
You agree to indemnify, defend, release and hold WSI, its officers, directors, suppliers, co-branders or other partners, agents and employees, harmless from all claims, demand, damages, fees and costs of any nature, including reasonable fees of attorneys' and other professionals, due to or arising out of anything you submit or transmit through the Site, your use of the Site, including any links located thereon, your connection to the Site, your violation of these Terms of Use, or your violation of any intellectual property rights. In the event you provide information that is untrue, inaccurate, fraudulent, or out of date, you agree to indemnify WSI for and hold it harmless from and against any and all liability, damages, loss or expense (including reasonable fees of attorneys and other professionals) it may incur, including but not limited to loss of business profits, taxes, penalties or sanctions, interest, fees, costs and expenses of any nature arising from or related to any claim, demand, action or proceeding alleged or initiated against WSI by any third party based upon the information you provide or your use of the Site.
5. Modifications to Site
From time to time WSI may change the Licensed Content, the services offered or terminated through the Site or modify the Site's capability. WSI reserves the right at any time and from time to time to modify these Terms of Use, the Site and/or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that WSI shall not be liable to you or to any third party for any such action.
6. Termination
WSI, in its sole discretion, may terminate your use for any reason, but especially if WSI believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Use. WSI may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision of the Terms of Use may be effected without prior notice, and acknowledge and agree that WSI may immediately deactivate or delete your account, if any, and all related information and files in your account and/or bar any further access to such files or the Site. Further, you agree that WSI shall not be liable to you or any third party for any termination of your access to the Site.
7. Links
This Site may contain links to other internet websites or resources. When you link to those sites, you leave this Site and therefore the WSI privacy terms set forth in these Terms of Use no longer apply; you become subject to the practices of those companies or individuals operating the linked sites. Please use caution and review the privacy policies of any sites that you visit to learn more about their information gathering practices. WSI has no control over such sites, their content and resources or the business practices or policies of operators of such sites. Therefore WSI cannot be and expressly disclaims all responsibility or liability for the availability or accuracy of such external sites or resources or the content thereon, does not endorse and is not responsible or liable for any advertising, products or other materials on or available from such sites or resources. The inclusion of any link on the Site does not imply that WSI endorses the linked site. Your use of the links is at your own risk. You further acknowledge and agree that WSI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such goods, services or materials available on or through any such link, site or resource.
8. Proprietary Rights
Everything you see or read on the Site, including the collection, compilation, assembly and arrangement of Licensed Content, is protected by all U.S. and international copyright, patent, trademark and other laws relating to the protection of proprietary rights, and may not be used except as provided in these Terms of Use without WSI's express written permission. The Site and any necessary software used in connection with the Site ("Software"), the collection, compilation, assembly and arrangement of Licensed Content, all images, photography, graphics, artwork, text, and other information and material found on the Site, regardless of source, all Marks and other intellectual property relating thereto and all information and data collected through the Site (all of which are included in and as the "Licensed Content"), is owned by Wall Street Institute, KFT, Luxembourg Branch, and its affiliates or other third parties who have granted WSI the right and license to use the Licensed Content and contains proprietary and confidential information that is protected by all applicable intellectual property and other laws. All trademarks, logos, taglines, slogans, trade names, trade dress, product and service names, individually or combined with one another, and whether or not registered (collectively the "Marks") are proprietary to Wall Street Institute KFT, Luxembourg Branch, and its affiliates or other third party owners who have granted WSI the right and license to use its marks ("Third Party Marks"). Wall Street Institute KFT, Luxembourg Branch, and its affiliates may license from third parties the rights to use their marks on its products ("Third Party Marks"). You may not use or display either the Marks or the Third Party Marks in any manner. This includes use in or as metatags or any other "hidden text." A list of all Marks and Third Party Marks appears at the end of these Terms of Use. This list is not exhaustive and the absence of a Mark from this list should not be viewed as a waiver by Wall Street Institute KFT, Luxembourg Branch, and its affiliates or any third party of any of its rights concerning that Mark. Other Wall Street Institute KFT, Luxembourg Branch product or service names, slogans, taglines, logos, graphics, page headers, button icons, scripts are trademarks or trade dress of Wall Street Institute KFT, Luxembourg Branch and may not be used in connection with any product or service that is not Wall Street Institute KFT, Luxembourg Branch's in any manner, but especially that which is likely to cause confusion in the marketplace, or in any matter that disparages or discredits Wall Street Institute KFT, Luxembourg Branch, or its affiliates.
9. Notices and Procedures for Making Claims of Copyright Infringement
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to the Site's legal department. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE.
WSI respects the intellectual property of others, and asks its users and visitors to do the same. WSI will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying with the DMCA, WSI will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.
If you believe that your work has been copied in any way that constitutes copyright infringement, please provide all of the following information:
(a) a physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
(b) a description of the copyrighted work that you claim has been infringed;
(c). a description of where the material that you claim is infringing is located on the Site;
(d) your address, telephone number, and email address and all other information reasonably sufficient to permit WSI to contact you;
(e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

13. General Information
These Terms of Use and any other agreements, whether or not referenced herein, constitute the entire agreement between you and WSI with regard to and shall govern your activities and use of the Site, superseding any prior agreements between you and WSI. You also may be subject to additional terms and conditions contained in affiliate invoices, or terms and contracts that may apply when you use affiliate services, third party content or third party software. These Terms of Use, any other agreement with and the relationship between you and WSI shall be governed by the laws of the State of Maryland without regard to its conflict of law provisions. You and WSI agree to submit to the personal and exclusive jurisdiction of the pertinent state or federal courts located within or with jurisdiction over City of Baltimore, State of Maryland. Notwithstanding the foregoing, WSI may seek equitable relief, including preliminary and permanent injunction, in any court of competent jurisdiction to prevent or enjoin misappropriation, misuse, unauthorized disclosure or infringement of any intellectual property rights. No bond shall be required as security for such equitable relief. Such remedies shall not be deemed to be exclusive but shall be in addition to all other remedies available at law or in equity. The failure of WSI to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect. You agree that regardless of any statute or law to the contrary, you must file any claim or cause of action arising out of or related to your use of the Site or the Terms of Use within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Terms of Use are for convenience only and have no legal or contractual effect.
